  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT ON THE SITE.

  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES.
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
  • DAMAGES ARISING FROM ANY FOOD PRODUCTS CONSUMED, INCLUDING ALLERGIC REACTIONS, FOOD POISONING, OR OTHER HEALTH-RELATED CLAIMS, EXCEPT AS REQUIRED BY LAW.

IN ALL CASES, COSTA VIDA'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COSTA VIDA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth above shall apply regardless of the legal theory on which the claim is based, including contract, tort, negligence, strict liability, or any other legal or equitable theory, and regardless of whether Costa Vida has been advised of the possibility of such damages.

Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Costa Vida and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation.
  • Your use of the Site or Services in a manner not authorized by these Terms.
  • Your User Content, including any claim that your User Content infringes any third-party intellectual property rights or violates any person's privacy rights.

  • Your negligence or willful misconduct.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims at your expense. You may not settle any claim without our prior written consent.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact Costa Vida at [email protected] and provide a written description of the dispute, including the nature of the claim and the relief sought. The parties agree to make a good-faith effort to resolve the dispute informally within thirty (30) days of Costa Vida's receipt of your written notice.

13.2 Binding Arbitration

If the parties are unable to resolve the dispute through informal negotiation, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services (including questions about the validity, interpretation, or enforceability of these Terms) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org.

The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on both parties. The arbitrator may award the same damages and relief as a court of competent jurisdiction. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm pending the conclusion of arbitration.

Any claim or cause of action you have arising out of or related to these Terms or your use of our Services must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, notwithstanding any statute of limitations to the contrary.

14. Governing Law and Jurisdiction

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to conflict of law principles.

For any matters not subject to binding arbitration under Section 13, you hereby consent to the exclusive jurisdiction of the state and federal courts located within the United States, and you waive any objection to the laying of venue in such courts.

These Terms shall be interpreted in accordance with applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), and where applicable, state-level consumer protection statutes including the California Consumer Privacy Act (Cal. Civ. Code § 1798.100 et seq.) for residents of California.

15. Term and Termination

15.2 Termination by You

The waiver of any breach of any provision of these Terms shall not be construed as a waiver of any subsequent breach of the same or any other provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published on our Site, constitute the entire agreement between you and Costa Vida with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between you and Costa Vida relating to such subject matter.

No oral or written representation, warranty, promise, or guarantee not expressly set forth in these Terms shall be binding upon Costa Vida.

20. Force Majeure

Costa Vida shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic events, government orders or restrictions, labor strikes, supply chain disruptions, power outages, internet or telecommunications failures, civil unrest, war, terrorism, or any other event of force majeure.

21. Electronic Communications

By using our Site and Services, you consent to receive electronic communications from Costa Vida, including email communications, SMS text messages (where you have opted in), push notifications, and notices posted on the Site.
